Any lawyers here who can advise on business formation?

A friend and I are going to start a web-based retail business. She's the "showrunner"; I'm supplying what I hope will be the limited start-up capital, the accounting services, some labor when necessary, and a significant amount of moral support.


I pretty much know what has to be done, and it would appear that most of it can be done without formal legal assistance, but I do have a few questions.


Anyone out there who might care to invest a few minutes in providing some guidance?
